The Supervisory Board of VolkerWessels announces changes of the composition of the Supervisory Board

Amersfoort, the Netherlands, 28 February 2019, the Supervisory Board of Koninklijke VolkerWessels N.V., a listed market-leading, multi-branded construction company based in the Netherlands, announces that Mr. René Kuipers, after having served its full term, shall resign from the Supervisory Board after the Annual General Meeting of 18 April 2019. The Supervisory Board proposes to appoint Mrs. Anja Montijn and Mr. Eelco Blok as members of the Supervisory Board at the Annual General Meeting of 18 April 2019. Both appointments will be for a term of four years.

Composition Supervisory Board

The Supervisory Board of VolkerWessels announces that Mr. René Kuipers shall resign from the Supervisory Board after the Annual General Meeting of 18 April 2019. Mr. Kuipers is a well-respected member of the Supervisory Board of VolkerWessels since May 2015. The Supervisory Board would like to thank Mr. Kuipers for his valuable contribution as a member of the Supervisory Board and as chairman of the Remuneration Committee. 

The Supervisory Board proposes to appoint Mrs. Anja Montijn at the Annual General Meeting of 18 April 2019 for a period of four years. Mrs. Montijn has fulfilled senior management positions at Accenture and is a non-executive board member at OCI and supervisory board member of Fugro. 

In addition, the Supervisory Board proposes to appoint Mr. Eelco Blok at the Annual General Meeting of 18 April 2019 for a period of four years. Mr. Blok is the former CEO of KPN and holds supervisory board positions at Signify, PostNL and Telstra. 

The appointment of Mrs. Montijn and Mr. Blok as members of the Supervisory Board will be put forward for approval at the AGM on 18 April 2019, subject to the Annual General Meeting not recommending any other person(s). On the basis of their enhanced right of recommendation the Central Works Council has recommended both Mrs. Montijn and Mr. Blok. Based on their longstanding career in senior management roles, both Mrs. Montijn and Mr. Blok bring extensive experience and expertise and fit well in the profile of the Supervisory Board. 

Following the appointment of Mrs. Montijn and Mr. Blok, the composition of the Supervisory Board shall be as follows:

  • Henry Holterman, Vice-Chairman
  • Sietze Hepkema
  • Frank Verhoeven
  • Anja Montijn
  • Eelco Blok

Annual General Meeting of Shareholders

VolkerWessels will hold its Annual General Meeting of Shareholders on 18 April 2019. The notice, agenda, explanatory notes and other necessary documents will be published on the website of VolkerWessels on 4 March 2019.
